About Us

A non-operating holding company with a dedicated operating arm

RORO Holdings Inc. is the Delaware non-operating parent—governance, capital, and ownership. RORO Technology LLC is the operating arm that builds, delivers, and runs the business.

Corporate Model

Holding company at the top. Operating arm in the market.

Holdings at the top. Operations with Technology. A deliberate structure that separates valuable assets and governance from operating execution.

Non-Operating Parent

RORO Holdings Inc.

RORO Holdings Inc. is a Delaware non-operating holding company. It owns group assets, sets governance, allocates capital, holds intellectual property, and enters strategic partnerships at the parent level. It does not build products, employ operational delivery teams, or sign customer service contracts.

U.S. Operating Arm

RORO Technology LLC

RORO Technology LLC is the U.S. operating arm of the group. It develops technology, delivers services, hires staff and contractors, signs customer and vendor agreements, and runs day-to-day business operations.

Delaware Corporation

Legal flexibility for a multi-entity group

Under Delaware law, a corporation can own property, make contracts, borrow and lend money, invest funds, hold interests in other entities, participate in joint ventures, and conduct business inside or outside Delaware.

Delaware law specifically allows corporations to participate in corporations, partnerships, LLCs, joint ventures, or other associations. This makes RORO Holdings Inc. well suited to own operating subsidiaries, hold African equity interests, centralize intellectual property, and serve as the contracting party for high-level strategic agreements.

Why a C-corporation at the top?

  • Stakeholders are familiar with Delaware corporate stock structures
  • Clean cap table for founders, investors, advisors, and employees
  • Ability to issue preferred stock, SAFEs, convertible notes, and options
  • Separation of valuable assets from operating liabilities
  • Centralized governance for multi-country expansion
